Reason: with a 50-50 split in shares, the firm could wind up in "corporate gridlock," meaning that if the two of you disagree on substantial issues, NO decision can be made, as nobody has majority shares. TALK TO A corporate lawyer? YOU'LL NEED TO TALK TO A LAWYER AND NOTARY DEPENDS ON WHAT DELAWARES LAWS ON SUCH MATTER IS- Do a search on "Delaware Department of Corporations". They have a good website where they should answer such questions. |
