How do I change the current shareholding of my Delaware Corproation?

I currently have a Delaware corporation with which i am the 100% shareholder. When I then say sell 50% of those shares to a partner do I need to do anything other than:

Update the companies share register (which i have)
Issue him a share certificate (I have the template etc)

Do I need to make some sort of filling with the Delware corporations officer if he isnt goign to be an office holder etc just a shareholder.

First of all, I highly recommend that you sell no more than 49% of the corporation to another investor. Reason: with a 50-50 split in shares, the firm could wind up in "corporate gridlock," meaning that if the two of you disagree on substantial issues, NO decision can be made, as nobody has majority shares.

To your question: since the new investor isn't going to be an officer (another reason why he shouldn't have 50% interest), the ONLY thing you have to do is issue him a stock certificates for the appropriate number of shares.
